Terms of Service
1. Who we are
These Terms of Service (“Terms”) apply to inspection services provided by MNGIT SIA, a company registered in the Republic of Latvia, registration no. 40203684686, legal address Dainas iela 10A-94, Rīga, LV-1001 (“MNGIT”, “we”, “us”). Contact: info@mngit.lv.
2. Scope
2.1 These Terms apply to every quote, order confirmation and service we provide to a client (“Client”). By confirming an order or paying an invoice, the Client accepts these Terms.
2.2 Our services are provided to businesses only, not to consumers.
2.3 The Client’s own purchasing or general terms do not apply unless we agree to them in writing.
2.4 If an order confirmation and these Terms conflict, the order confirmation prevails for that order.
3. Our services
3.1 We carry out independent pre-shipment inspections of goods at the location agreed with the Client. Depending on the order, this may include checks of quantity, weight, packing, labels and marking, visual quality against the Client’s specification, container condition, loading supervision and sealing, photographs, and the drawing of samples for laboratory testing.
3.2 Unless agreed otherwise, sampling follows ISO 2859-1, general inspection level II, with acceptance limits stated in the order confirmation.
3.3 We may use qualified subcontracted inspectors. We remain responsible to the Client for their work under these Terms.
3.4 We are not a government authority, notified body or accredited certification body. Our reports are not official certificates (such as phytosanitary, origin or conformity certificates) and do not replace any inspection required by law, by a letter of credit, or by a contract that names another agency.
4. Booking and Client obligations
4.1 A booking is confirmed when we send a written order confirmation and, where prepayment applies, receive payment.
4.2 The Client must provide, in good time: the purchase order, specification, packing list, labelling instructions and any agreed samples; the supplier’s name, address and contact person; and the planned inspection date.
4.3 The Client must ensure that the supplier gives our inspector safe access to the goods, packaging, weighing equipment and loading area, and that the goods are ready and presented as agreed.
4.4 The Client must tell us in advance about any hazardous, restricted or controlled goods. We may decline an inspection we consider unsafe or unlawful.
4.5 We inspect against the information the Client provides. We are not responsible for errors or omissions in that information.
5. Prices and payment
5.1 Prices are those in our quote or order confirmation. Quotes are valid for 14 days.
5.2 Travel, accommodation and other out-of-pocket costs are charged at cost, as quoted before booking. Laboratory testing is charged as stated in the quote. Urgent inspections carry the surcharge stated in the quote.
5.3 Prices exclude VAT. VAT is charged, or the reverse-charge mechanism applied, in accordance with applicable law.
5.4 New Clients pay 100% of the fee before the inspection. For other Clients, invoices are payable within the term stated on the invoice.
5.5 Bank and transfer charges are paid by the Client. Payments are made in euros unless agreed otherwise.
5.6 Late payments bear statutory interest for late payment in commercial transactions under Latvian law, plus a fixed compensation of EUR 40 for recovery costs.
5.7 We may withhold the final report until all amounts due for that inspection are paid.
6. Cancellation, rescheduling and abortive visits
6.1 The Client may cancel or reschedule without paying the inspection fee until 48 hours before the inspection start time (local time at the inspection location).
6.2 For cancellation or rescheduling with less than 48 hours’ notice, 50% of the inspection fee is payable.
6.3 In every case of cancellation or rescheduling, whenever it happens, the Client pays all travel, accommodation and other costs already incurred that cannot be cancelled or refunded, such as non-refundable tickets and hotel bookings.
6.4 If the inspection cannot be carried out on arrival for reasons outside our control, including goods not ready, refusal of access or missing documents, the visit counts as an abortive visit. The full inspection fee and travel costs are payable, and a new visit is charged as a new inspection.
7. Inspection reports
7.1 We send photographs during the inspection where possible and a signed PDF report within 2 working days of the inspection, unless agreed otherwise.
7.2 A report states our findings on the goods presented to us at the time and place of inspection only. We have no responsibility for the goods before or after that time, including during storage, transport, unloading or after the container is sealed.
7.3 Findings based on sampling apply to the samples examined. They are not a guarantee that every unit in the lot conforms.
7.4 A report does not release the seller or buyer from their obligations under their sales contract, and it does not decide any dispute between them. Incoterms and the sales contract govern risk and liability between seller and buyer.
7.5 The report is issued for the Client only. No third party may rely on it without our written consent.
7.6 The Client must report any objection to a report in writing within 2 days of receiving it. After that, the report is final and accepted by the Client.
8. Laboratory testing
8.1 Samples are tested by an independent laboratory chosen with the Client, or by the Client’s own laboratory account. The laboratory’s own terms apply to the testing.
8.2 The laboratory is responsible for its test methods and results. We are responsible for drawing, sealing and dispatching samples as agreed.
9. Liability
9.1 We carry out our services with reasonable skill and care in line with generally accepted inspection practice.
9.2 Our total liability for any claim connected with an inspection, whether in contract, tort or otherwise, is limited to the inspection fee paid for that inspection, excluding travel, laboratory and other passed-on costs.
9.3 We are not liable for indirect or consequential loss, including loss of profit, revenue, business, contracts or goodwill, or for claims made against the Client by its customers or suppliers.
9.4 We do not accept claims about the condition, quality, quantity or weight of the goods after the time and place of inspection, including any change during storage, loading after our departure, transport or unloading. Risk and liability for the goods between seller and buyer are governed by their sales contract and Incoterms.
9.5 Any other claim must be made in writing within the objection period in clause 7.6, after which it is barred.
9.6 Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional wrongdoing or gross negligence.
10. Confidentiality
10.1 We keep all information the Client gives us, and all reports and photographs, confidential. We share them only with our inspectors, the laboratory and professional advisers who need them to carry out the service, or where required by law.
10.2 The Client keeps confidential our prices and any terms agreed specially for the Client.
11. Photographs and reports
11.1 MNGIT owns the copyright in reports and photographs. Once paid for, the Client may use them freely for its own business purposes.
11.2 We keep copies for our records and may use anonymised findings, without identifying the Client, supplier or goods, to improve our services. We publish nothing that identifies the Client without the Client’s written consent.
12. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, strikes, war, government action, or transport and port disruptions. Affected inspections are rescheduled at no extra fee.
13. Governing law and disputes
13.1 These Terms and every order are governed by the laws of the Republic of Latvia.
13.2 The parties will first try to settle any dispute by negotiation. Disputes not settled within 30 days are resolved by the courts of the Republic of Latvia.
14. Changes
We may update these Terms. The version published on our website when an order is confirmed applies to that order.
